• Account, Buyer, Commission, Content, Dispute, Payment Hold Services, Guest User, KYB, KYC, Listing, Platform, Prohibited Services, Service Provider, Services, Token System, Transaction, User, Verification.

1.2 Interpretation

Rules of interpretation including plural/singular, headings, “including” meaning, statutory references, writing, and calendar days.

2. Agreement Formation and Acceptance

Binding agreement, electronic consent, capacity and authority, modifications (with notice), and incorporation of additional terms and policies.

3. Platform Description and Service Scope

Service marketplace focus, business model, availability and modifications, and third‑party services.

4. User Categories and Account Requirements

Guest vs Registered users, verification only needed for providers, individual vs business operations, and account security obligations.

5. Verification and Compliance Obligations

KYC/KYB requirements, ongoing compliance, and processing timelines with re‑verification triggers.

6. Marketplace Transaction Framework

Listing standards, booking and delivery, cancellation and rescheduling, and international considerations.

7. Commission Structure and Payment Processing

Commission range (2.75–7%), fees, secure processing and escrow, release conditions, chargebacks, settlement/withdrawal, and tax responsibilities (provider and platform).

8. Prohibited Items and Activities

9. Content Rights and Intellectual Property

User content ownership and license, standards, platform IP, and IP protection/reporting.

10. User Obligations and Representations

Provider obligations, buyer obligations, legal compliance, and good‑faith conduct.

11. Platform Rights and Enforcement

Content moderation, account management, investigations, and off‑platform transaction prohibition.

12. Buyer Protection and Provider Obligations

Buyer protection scope, provider performance standards, refund/credit guidelines, and processing timeline.

13. Dispute Resolution and Payment Hold Services

Three‑step resolution (direct, platform dispute, investigation), payment hold mechanics, ADR, and legal action limitations.

14. Privacy and Data Processing

Privacy Policy: expatray.com/legal/privacy, DPA: expatray.com/legal/dpa, security and breach notices.

15. Disclaimers and Limitations of Liability

As‑is service, no warranties, marketplace role clarification, liability limits, and user assumption of risk.

16. Indemnification Obligations

User indemnification scope and defense/settlement rights.

17. Termination and Account Suspension

User termination, platform suspension/termination, effects of termination, and data retrieval.

18. Governing Law and Jurisdiction

Estonia/UK governing law with consumer protections by locale, dispute hierarchy, arbitration terms and exceptions, jurisdiction/venue, and class‑action waiver with opt‑out and consumer exceptions.

19. General Legal Provisions

Entire agreement, severability, assignment, force majeure, notices, survival, waiver, language/interpretation.
